1. Informational purposes only; no offer or advice
The Site and its content are provided for general informational purposes only. Any such offer or solicitation will be made only through definitive offering documents delivered to qualified investors. Please refer to our Disclosures page for additional important information, which is incorporated into these Terms by reference.
References to portfolio companies, performance, testimonials, statistics, or other information on the Site are provided as of the dates indicated, are subject to change without notice, and should not be relied upon in evaluating the merits of any investment. SignalFire makes no representation that any portfolio company or investment described on the Site is representative of all investments made by funds managed by SignalFire or that future investments will be profitable.

3. Changes to these Terms and the Site
We may modify these Terms at any time by posting the revised Terms on the Site and updating the “Last updated” date. Changes are effective when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We may also change, suspend, or discontinue any part of the Site at any time without notice or liability.

Except as expressly permitted in these Terms, no Content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, scraped, or used to train machine-learning or artificial-intelligence models without our prior written permission.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and to download or print a reasonable number of pages of Content for your personal or internal business reference, provided you keep all copyright and other proprietary notices intact. All rights not expressly granted are reserved.

We may investigate and take any action we consider appropriate in response to a violation of these Terms, including blocking your access to the Site and reporting conduct to law enforcement.
7. Submissions and feedback
The Site may allow you to sign up for our newsletter, contact us, or otherwise submit information to us. You are responsible for the accuracy of the information you submit and for ensuring you have the right to provide it. If you send us ideas, suggestions, or other feedback about SignalFire, the Site, or our products (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback for any purpose without compensation or attribution to you. 9. Disclaimers
THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SIGNALFIRE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, OR THAT THE CONTENT IS ACCURATE, COMPLETE, OR CURRENT. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIGNALFIRE, ITS AFFILIATES, OR THEIR RESPECTIVE MEMBERS, MANAGERS, PARTNERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE, THE CONTENT, OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). The limitations in this section apply to the fullest extent permitted by applicable law and do not limit liability that cannot be limited by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless SignalFire, its affiliates, and their respective members, managers, partners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.
12. Copyright complaints
We respect the intellectual property rights of others. If you believe that material on the Site infringes your copyright, please send a notice that complies with the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)) to our designated agent at legal@signalfire.com or by mail to SignalFire, Attn: Legal, 501 2nd Street, Suite 100, San Francisco, CA 94107.
13. Governing law and disputes
These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any legal action arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of and venue in those courts. To the extent permitted by law, you and SignalFire each waive any right to a jury trial and agree that any claim must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Any claim arising out of or relating to the Site must be filed within one year after it arises or it is permanently barred.
14. General
These Terms, together with our Privacy Policy and Disclosures, constitute the entire agreement between you and SignalFire regarding the Site and supersede any prior agreements regarding the Site. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms; we may assign them without restriction. Section headings are for convenience only. You consent to receive communications from us electronically, and you agree that notices we provide electronically satisfy any legal requirement that such communications be in writing.
